1. Agreement to Terms

These Terms & Conditions ("Terms") govern your access to and use of the GBPTrack website, application, and related services (collectively, the "Service") operated by GBPTrack. By creating an account, subscribing, or using the Service, you agree to these Terms and our Privacy Policy.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

GBPTrack provides tools for local SEO professionals and businesses, including geo-grid rank tracking, Google Business Profile management, health scoring, competitor analysis, team collaboration, and white-label reporting. Features may change over time as we improve the platform.

3. Account Registration

• You must provide accurate and complete registration information
• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activity under your account
• You must notify us promptly of any unauthorized access or security breach
• One person or legal entity may not share account access outside permitted team invites

4. Subscriptions & Billing

Paid plans are billed according to the pricing displayed at signup or on our Pricing page. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis until you cancel.

• Fees are generally non-refundable except where required by law or explicitly stated
• We may change pricing with reasonable notice to active subscribers
• Failure to pay may result in suspension or termination of access
• Free trials, if offered, convert to paid plans unless cancelled before the trial ends

5. Acceptable Use

You agree not to:

• Use the Service for unlawful, fraudulent, or harmful purposes
• Attempt to gain unauthorized access to systems, accounts, or data
• Reverse engineer, scrape, or resell the Service except as expressly permitted
• Interfere with platform performance, security, or other users' access
• Upload malicious code or misleading business information
• Use the Service in violation of Google's terms or applicable search engine policies
• Misrepresent scan data, reports, or rankings when sharing with clients

6. Google & Third-Party Services

Certain features require connecting third-party accounts (such as Google Business Profile). Your use of those services is subject to the third party's terms and policies. GBPTrack is not affiliated with or endorsed by Google. We are not responsible for third-party service outages, API changes, or data accuracy beyond our reasonable control.

7. Your Content & Data

You retain ownership of business data, listings, and materials you submit to the Service. You grant us a limited license to host, process, and display that content solely to operate and improve GBPTrack, including generating reports and scans you request.

You are responsible for ensuring you have the right to connect and manage any business locations, client accounts, or GBP listings added to the platform.

8. Intellectual Property

GBPTrack, including its software, design, branding, documentation, and underlying technology, is owned by us or our licensors and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or proprietary materials except as needed to use the Service.

9. White-Label & Client Reports

Agency and white-label features allow you to brand reports and portal links for your clients. You are solely responsible for the accuracy of data presented to clients and for complying with applicable marketing, disclosure, and client contract obligations.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE SPECIFIC RANKING IMPROVEMENTS, SEARCH VISIBILITY OUTCOMES, OR UNINTERRUPTED ACCESS. RANKING DATA DEPENDS ON THIRD-PARTY SOURCES AND MAY VARY BY LOCATION, DEVICE, AND TIME.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GBPTRACK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless GBPTrack from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any third-party rights.

13. Suspension & Termination

We may suspend or terminate access if you breach these Terms, fail to pay fees, or if continued provision poses security or legal risk. You may cancel your subscription at any time through your account settings at app.gbptrack.com. Upon termination, your right to use the Service ceases, though certain provisions survive (including payment obligations, disclaimers, and limitations of liability).

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which GBPTrack operates, without regard to conflict-of-law principles. Disputes shall be resolved in the courts of that jurisdiction unless otherwise required by applicable consumer protection laws.

15. Changes to Terms

We may modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
